HELLENiQ ENERGY Holdings S.A. (the "Company"), further to the notification received on 7 July 2026, announces, in accordance with Article 19 of the Regulation (EU) 596/2014 of the European Parliament and of the Council of 16 April 2014, as well as L. 3556/2007, that Mr. George Dimogiorgas, Refineries’ General Manager, sold through EURONEXT ATHENS 1,000 common, registered shares of the Company on 3 July 2026, amounting to a total value of €11,050.

HELLENiQ ENERGY Holdings S.A. (hereinafter the “Company”) hereby announces, in accordance with the Euronext Athens Rulebook, that the Annual General Meeting of the Shareholders of the Company that took place on 25.06.2026, decided the distribution of a total dividend of €0.60 per share for the financial year 2025. Considering that an interim dividend amounting to €0.20 per share has already been distributed, the final dividend amounts to €0.40 per share.

(the “Company”) announces that the Annual General Meeting of shareholders convened on 25 June 2026 at 12:00 hours in a hybrid manner, i.e. with the physical presence of shareholders at “The Ilisian” (46 Vasilissis Sofias Ave., 115 28, Athens), in the “Erato Grand Ballroom”, as well as by remote attendance and participation of shareholders in real time via teleconference or by submitting their postal vote prior to the meeting, either personally or through a proxy.
