Announcement of regulated information

HELLENiQ ENERGY Holdings S.A. (the "Company"), further to the notification received on 20 March 2026, announces, in accordance with the provisions of Article 19 of Regulation (EU) 596/2014 of the European Parliament and of the Council of 16 April 2014, as well as L. 3556/2007, that Mr. Theodoros-Achilleas Vardas, a non-executive member of the Board of Directors of the Company, together with his spouse Ms. Ioulia – Alexandra Varda, executed, on 18 March 2026, through the Athens Exchange, a transaction involving the sale of 5,000 common, registered shares of the Company, with a total value of €50,992.49. The transaction was conducted from their Joint Investor Account, in which both individuals participate as co-beneficiaries.

HELLENiQ ENERGY Holdings S.A. (the "Company"), further to the notification received on 21 January 2026, announces, in accordance with Article 19 of the Regulation (EU) 596/2014 of the European Parliament and of the Council of 16 April 2014, as well as L. 3556/2007, that Mr. Theodoros-Achilleas Vardas, a non-executive member of the Board of Directors of the Company, executed on 16 January 2026, an over-the-counter, free of payment transfer of 15,396 common, registered shares of the Company, from his individual investor account to a joint investor account, in which his spouse Ioulia – Alexandra Varda also participates as a co-holder, and as a result of this transfer she acquires rights over the aforementioned shares.

“HELLENiQ ENERGY Holdings S.A.” (the “Company”) announces, pursuant to the provisions of article 14 par.3 of L. 3556/2007, that, following a notification received from the Hellenic Republic on 20.01.2025, the 31.18% of the Company’s share capital and voting rights previously held directly by the “Hellenic Republic Asset Development Fund S.A.” (“HRADF”), was transferred on 31 December 2024 to the “Hellenic Corporation of Assets and Participations” (“HCAP”) as a result of the merger by absorption of the HRADF. The sole shareholder of HCAP is the Hellenic Republic. Therefore, the total percentage of the Company’s share capital and voting rights controlled by the Hellenic Republic remains unchanged.
